- Tax ID (CIF): B27565878.

2. Purpose and Definitions
These Terms govern the contracting and use of Business Copilot, a per-user subscription SaaS platform offering a CRM, a live meeting assistant with a browser extension (Chrome and Firefox, for Google Meet), transcription and reports, projects and boards, AI training, proposals, and connectors with third-party tools (Gmail, Google Calendar, Google Drive, HubSpot, Jira, and GitHub).
- Customer: the legal entity or professional that contracts the Service.
- Authorized User: an individual registered by the Customer to access the portal.
- End Users: individuals whose data the Customer processes in the Service (e.g., contacts, participants in recorded or transcribed meetings) and on whom the Service operates on the Customer's behalf.
- Service: the Business Copilot, its browser extension, and ancillary services.
3. B2B Nature and Capacity
The Service is intended exclusively for businesses and professionals acting in the course of their business or professional activity; it is not directed at consumers. The Customer declares that it contracts in that capacity, that it has the legal capacity to contract, and that whoever accepts these Terms is empowered to bind the Customer. Consequently, consumer protection rules (including the right of withdrawal and the European online dispute resolution platform — ODR) do not apply.
4. Registration, Account, and Security
Sign-up requires registration with email and password or with single sign-on (Google, SAML, or OIDC). The Customer and its Authorized Users warrant that the data provided is truthful and up to date.
Credentials are personal and non-transferable. The Customer is responsible for the confidentiality of credentials and for all activity carried out under its account. Enabling multi-factor authentication where available is recommended.
The Customer shall notify support@idptrust.com without delay of any unauthorized use or security breach affecting its account.
5. Electronic Contracting Process (LSSI Art. 27)
Contracting takes place online through the portal in the following steps: (i) plan selection; (ii) order, price, and tax review; (iii) acceptance of these Terms, the Privacy Policy, and, where applicable, the DPA; (iv) entry of payment details through the gateway; (v) confirmation of the order.
The contracting language is Spanish (and/or English). The contract is deemed concluded upon confirmation of the subscription. Contract filing: Business Copilot will keep an electronic record of the order, accessible to the Customer through the portal and/or upon request to support@idptrust.com.
Before finalizing the order, the Customer has the means to identify and correct data entry errors.
6. Trial Period
Where offered, the trial period lasts 15 days from activation, free of charge and without requiring a payment method unless stated otherwise. At the end, access ceases unless a paid plan is contracted. Business Copilot reserves the right to limit or withdraw trials and to apply anti-abuse measures (one trial per entity/user).
7. Pricing, Taxes, and Billing
The applicable prices are those published on the portal's pricing/plans page at the time of contracting.
Taxes: unless stated otherwise, prices are exclusive of taxes. Applicable indirect taxes will be charged in accordance with current legislation depending on the Customer's location and status: (i) Customers established in Spain: Spanish VAT; (ii) businesses established in other EU Member States providing a valid VIES VAT number: reverse charge (the Customer self-assesses the tax in its country); (iii) Customers outside the EU: the transaction is generally not subject to Spanish VAT, with the Customer responsible for the taxes and withholdings applicable in its jurisdiction. The Customer provides truthful billing data (incl. Tax ID/VAT) and is responsible for its accuracy.
Payment: via a payment gateway. The Customer authorizes recurring charges for the contracted plan. Invoices are issued electronically and made available in the portal.
Automatic renewal: the subscription renews automatically for equal periods (monthly or annual) unless the Customer cancels before the renewal date in accordance with clause 9.
Price changes: Business Copilot may change prices effective from the next renewal, giving reasonable advance notice; the Customer may cancel before they take effect.
8. Non-payment
Non-payment of any amount due entitles Business Copilot, after notice, to suspend the Service and, if it persists, to terminate the contract, without prejudice to the collection of amounts owed. Suspension for non-payment does not give rise to SLA credit.
9. Term, Cancellation, and Refunds
The subscription lasts for the contracted period (monthly or annual) and is governed by the renewal in clause 7.4.
Cancellation: the Customer may cancel renewal at any time from the portal; cancellation takes effect at the end of the current billing period, retaining access until then. No additional notice is required.
Refunds: amounts corresponding to periods already started are non-refundable, except for (i) mandatory legal provisions or (ii) the credits provided in the SLA. No pro-rata refunds are made.
As this is contracting between businesses/professionals (B2B), the right of withdrawal provided for consumers does not apply.
10. Service Level (SLA)
Availability and support are governed by the Service Level Agreement (SLA), which forms an integral part of these Terms (availability target of 99.0% monthly under commercially reasonable efforts, support during business hours, credits as the sole remedy; see SLA document). Service credits are the sole compensation for failure to meet availability targets.
11. Customer Obligations and Responsibilities
The Customer will use the Service in accordance with the law, these Terms, and the documentation. The Customer shall refrain from: fraudulent or unlawful use; infringing third-party rights; attempting to access other customers' data; reverse engineering except as permitted by law; overloading or compromising the security of the Service; circumventing quota or plan limits.
End User data: with respect to the personal data of its End Users processed through the Service, the Customer acts as Data Controller and Business Copilot as Data Processor, under the terms of the DPA (a separate document, mandatory acceptance). The Customer warrants that it has an appropriate legal basis and provides adequate information to its End Users.
The Customer is responsible for the correct configuration of its workspace, the connectors it enables (Gmail, Google Calendar, Google Drive, HubSpot, Jira, GitHub), and the OpenAI key it configures, where applicable, for the AI features, as well as the contract and costs it maintains with OpenAI.
12. Intellectual Property and License of Use
The Service, its software, brand, documentation, and components are owned by SOLIDPULSE LABS, SL or its licensors. Contracting grants the Customer a non-exclusive, non-transferable license of use, limited to the term of the contract.
The browser extension that the Customer installs is licensed for use with the Service under the terms accompanying it; its ownership is not transferred.
The Customer retains ownership of its data and content. It grants Business Copilot a limited license to process it as necessary to provide the Service.
13. Data Protection
The processing of Authorized Users' data (portal accounts) is governed by the platform Privacy Policy. The processing of End Users' data on the Customer's behalf is governed by the DPA. Both documents form part of the contractual relationship.
14. Confidentiality
Each party will keep confidential the other's non-public information accessed in connection with the contract, using it only for its performance, during the term and for 3 years afterwards. Information in the public domain or required by law/authority is excepted.
15. Availability, Maintenance, and Service Changes
Business Copilot may carry out maintenance (scheduled, with reasonable notice, and emergency) and evolve the Service. It may discontinue features with reasonable notice; if an essential contracted feature is discontinued without an equivalent replacement, the Customer may terminate the affected part.
16. Warranties and Limitation of Liability
The Service is provided 'as is' and 'as available', with no warranties other than those mandated by law. Business Copilot does not warrant that the Service will be free of errors or interruptions beyond the SLA.
Limitation of liability: to the extent permitted by law, Business Copilot's total aggregate liability arising out of or in connection with the contract is limited to the amount actually paid by the Customer in the twelve (12) months prior to the event giving rise to liability. Indirect damages, loss of profit, loss of data not attributable to Business Copilot, and loss of opportunity or business are excluded. Nothing in these Terms limits liability that cannot be excluded or limited by law (e.g., willful misconduct or personal injury).
17. Suspension and Termination
Business Copilot may suspend or terminate for a material breach by the Customer (incl. non-payment, unlawful use, security risk), with prior notice where possible.
Effects of termination: access to the Service ceases. The Customer may export its data during a grace period of 30 days from termination; after that period, Business Copilot will delete or return the data in accordance with the DPA, except for data it must retain by legal obligation (retention periods in DPA, Annex I).
18. Force Majeure
Neither party is liable for breaches due to causes beyond its reasonable control (third-party provider failures, network outages, large-scale cyberattacks, etc.), without prejudice to reasonable security and continuity obligations.
19. Amendment of the Terms
Business Copilot may amend these Terms for legal, technical, or business reasons, giving reasonable advance notice. If the Customer does not accept material changes, it may terminate before they take effect; continued use after they take effect implies acceptance.
20. Assignment
The Customer may not assign the contract without Business Copilot's consent. Business Copilot may assign it to companies in its group or in restructuring operations, informing the Customer.
21. Governing Law and Jurisdiction
These Terms are governed by Spanish law. For the resolution of any dispute, the parties, expressly waiving any other jurisdiction that may correspond to them, submit to the Courts and Tribunals of Seville (Spain).
22. Indemnification
The Customer will hold Business Copilot harmless against third-party claims arising from: (i) use of the Service by the Customer or its Users in breach of the law or these Terms; (ii) the data or content the Customer enters or processes through the Service, including the lack of a legal basis or adequate information towards its End Users; and (iii) the infringement of third-party rights attributable to the Customer. All of the foregoing is without prejudice to legally applicable defenses and limits.
23. Regulatory Compliance, Export Control, and Sanctions
Each party will comply with the regulations applicable to it. The Customer declares that it is not subject to sanctions or restrictions of the European Union, Spain, or others applicable, that it is not located in a sanctioned or embargoed country or territory, and that it will not use the Service in breach of export control, international sanctions, or anti-corruption regulations. Business Copilot may suspend or terminate the contract if its provision becomes unlawful for these reasons.
24. Miscellaneous
Partial invalidity (the invalidity of a clause does not affect the rest); entire agreement (these Terms + SLA + Privacy + DPA + the order constitute the entire agreement); communications will be made through the means indicated in the portal; survival: clauses that by their nature must survive (confidentiality, intellectual property, limitation of liability, indemnification, data protection, and governing law) will remain in force after termination of the contract.
